I hereby agree and undertake to keep confidential all information relating to Staff Renter and not to disclose to any third party any information obtained from representatives or employees of Staff Renter or on Staff Renter premises, or concerning any customer of Staff Renter, other than information that may be made public or otherwise known to me through legitimate means. I acknowledge and agree not to use any proprietary business information belonging to any other company or organization that may in any way benefit Staff Renter or any division or affiliate of Staff Renter.

Under no circumstances will I disclose or reveal to any third party in any manner whatsoever, without the prior written permission of Staff Renter, any information not yet lawfully made public to such third party concerning any product, service or system used by Staff Renter, or any technical or other data relating to Staff Renter, its business or its customers. All originals and copies of any software, reports or other materials relating to Staff Renter’s business, however produced and whenever produced, are the exclusive property of Staff Renter and may not be removed from Staff Renter’s premises and must be delivered to Staff Renter’s representatives unless I have received prior written permission from a Staff Renter representative to retain such materials. At no time will I copy, photocopy or reproduce in any form any material, data or information relating to the services and generally to Staff Renter’s business or its clients for outside distribution. Upon Staff Renter’s request, I will promptly deliver any information submitted by Staff Renter, including all reports, letters, drawings, manuals, specifications, designs, documents, records, notebooks including copies, whether prepared by Staff Renter, myself or third parties.

At no time after the preparation, review and discussion of products and services with Staff Renter representatives and employees will I disclose to any third party any trade secret of Staff Renter or its clients acquired by Staff Renter or its clients for my own benefit. Trade secrets include any information not commonly known to any other third party that gives Staff Renter or its clients an advantage in its business activities.

The candidate will be paid to Staff Renter a sum of fifteen thousand dollars ($15,000.00), if these terms are not respected, under the laws of Quebec.
