  1. Status and Responsibilities of the Independent Contractor

  • The independent contractor acts as an independent service provider. As such, they retain the freedom to organize their work and perform their tasks autonomously, without subordination to Staff Renter or its clients.
  • The independent contractor is responsible for their own tax, administrative, and personal insurance obligations, including liability insurance.
  • No employer-employee relationship exists between the independent contractor and Staff Renter.
  1. General Responsibilities and Professional Conduct

  • The independent contractor commits to providing professional and high-quality service.
  • Wearing appropriate and neat attire is recommended to maintain the agency’s image and ensure the smooth execution of the contract.
  • Any inappropriate behavior, including a breach of ethical rules, may justify contract termination.
  1. Compliance with Client Policies and Instructions

  • The independent contractor must adhere to health and safety policies and client instructions for the proper execution of the contract.
  • These instructions are contractual expectations, not direct orders. The contractor retains full control over how they organize their work.
  • In case of emergencies or safety risks, the independent contractor must act accordingly and inform Staff Renter.
  1. Confidentiality and Data Protection

  • The independent contractor must treat as confidential all information accessed during the contract (clients, guests, participants, etc.).
  • The independent contractor must not collect or share personal data about clients, visitors, or other participants without prior authorization.
  • Any client inquiries regarding the contractor’s contact details should be redirected to Staff Renter at 1-833-992-1224.
  • The independent contractor must comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, the General Data Protection Regulation (GDPR).
  1. Insurance and Responsibilities

  • The independent contractor is solely responsible for obtaining and maintaining their insurance (e.g., liability, medical).
  • Staff Renter cannot be held liable for injuries, losses, damages, or claims arising from the contract’s execution by the contractor.
  • The independent contractor is liable for damages they cause to the client, equipment, or third parties during the contract’s execution.
  1. Alcohol, Drugs, and Smoking

  • Prohibited consumption: Alcohol or drug use at the contract location is strictly forbidden.
  • Smoking at work: Smoking is prohibited on-site unless the client has granted specific prior permission.
  1. Property Damage

  • The independent contractor may be held responsible for damages caused intentionally or negligently to equipment, facilities, or property at the contract location.
  • In cases of property damage, a maximum charge of $500 may be imposed on the contractor, provided proof is submitted by the client or Staff Renter.
  1. Image Rights and Photography

  • Taking photos or videos during the contract execution is prohibited without prior consent from the client or Staff Renter.
  • Image rights for photos or videos produced by the independent contractor under the contract are transferred to Staff Renter unless otherwise agreed.
  • The independent contractor authorizes Staff Renter to use their image for promotional purposes, unless they provide prior written opposition.
  1. Contract Execution and Work Hours

  • The independent contractor retains control over their work schedule.
  • Breaks are at the contractor’s discretion but should ideally be coordinated with the client to ensure smooth contract execution.
  • The independent contractor must confirm their end-of-day hours with the responsible person before leaving the work site.
  1. Delays and Absences

  • If unable to fulfill the contract, the independent contractor must notify Staff Renter at least 24 hours in advance.
  • Unjustified delays or absences that cause harm to the client or Staff Renter may result in compensation claims for incurred costs.
  1. Hour Confirmation, Billing, and Payment

  • The independent contractor must confirm completed hours on the Staff Renter platform by Monday for the previous week (Sunday to Saturday). This confirmation is crucial for billing processing.
  • The contractor must submit their invoice within 90 days after the contract ends.
  • Payment will be made by Staff Renter within 14 business days after receipt of a compliant invoice.
  • The contractor is responsible for complying with tax obligations and declaring income per applicable laws.
  1. Contract Termination

  • The client or Staff Renter may terminate the contract at any time, without cause or compensation, by notifying the independent contractor in writing.
  • In cases of serious misconduct by the contractor (e.g., inappropriate behavior, safety rule violations, unjustified absence), Staff Renter reserves the right to terminate the contract immediately without compensation.
  • Upon termination, the independent contractor cannot claim any compensation beyond services rendered up to that point.
  1. Non-Solicitation and Non-Competition

  • During the contract and up to 12 months after its end, the independent contractor agrees not to solicit or accept other contracts directly with the client without going through Staff Renter.
  • This clause is limited to the specific business relationship of the contract and complies with applicable laws.
  1. Indemnification

  • The independent contractor agrees to indemnify Staff Renter for any claims, losses, or damages resulting from their acts, omissions, or faults during contract execution.
  • Staff Renter assumes no responsibility for the actions of the independent contractor, who operates independently.
  1. Force Majeure

  • Neither the independent contractor nor Staff Renter can be held responsible for delays or inability to perform the contract in cases of force majeure (natural disasters, strikes, pandemics, etc.).
  • In such cases, the parties will agree on an alternative solution or postpone contract execution.
  1. Arbitration and Mediation

  • In case of a dispute related to the contract, the parties agree to first seek mediation before initiating legal proceedings.
  • If mediation fails, the dispute will be submitted to an independent arbitration, whose decision will be binding on both parties.
